Terms Of Service

Last Updated: June 21, 2026

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Opplaus ("Opplaus," "Company," "we," "our," or "us") governing your access to and use of the Opplaus websites, applications, Chrome Extension, recruiter portal, organization portal, ambassador portal, artificial intelligence tools, and all related products, services, content, software, and functionality (collectively, the "Platform").

By accessing, browsing, registering for, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

1. Eligibility

The Platform is intended for individuals and business entities seeking to connect job seekers with recruiters and employers through the services offered by Opplaus. You represent and warrant that you are at least eighteen (18) years of age, or the age of majority in your jurisdiction if greater, and possess the legal capacity to enter into binding contracts. If you are accessing or using the Platform on behalf of a company, organization, or other legal entity, you further represent and warrant that you have the authority to bind that entity to these Terms, in which case the term "you" shall include both the individual user and the applicable entity. You may not access or use the Platform if doing so would violate any applicable law, regulation, contractual obligation, or governmental restriction. We reserve the right to refuse access to the Platform or terminate accounts at any time if we reasonably believe a user does not satisfy these eligibility requirements.

2. Description of the Platform

Opplaus is a technology platform that provides tools designed to assist job seekers, recruiters, employers, organizations, and marketing ambassadors throughout various stages of the employment and recruitment process. Depending upon the type of account created, users may access features including professional profile creation, resume and cover letter management, artificial intelligence-powered career tools, job searching, application tracking, recruiter messaging, candidate management, company administration, referral programs, subscription services, and other related functionality that may be introduced from time to time.

The Platform also includes the Opplaus Chrome Extension, which enables users to save supported third-party job postings into their Opplaus account for organizational and tracking purposes. Users are redirected to the original third-party website or employer to complete any employment application, and Opplaus does not submit applications on a user's behalf unless expressly stated otherwise. Certain Platform features utilize artificial intelligence to generate resumes, cover letters, career recommendations, job matching suggestions, chatbot responses, keyword generation, and other employment-related content. These tools are intended solely to assist users and should not be relied upon as professional, legal, employment, career, financial, or other professional advice.

3. User Accounts

Access to certain portions of the Platform requires the creation of a registered user account. You agree to provide accurate, current, complete, and truthful information during registration and to maintain the accuracy of such information throughout your use of the Platform. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account, regardless of whether those activities were authorized by you. You agree to notify Opplaus immediately if you become aware of any unauthorized access to your account, unauthorized use of your credentials, suspected security breach, or any other compromise affecting your account. We reserve the right to suspend, restrict, or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms. Users are responsible for ensuring that all resumes, profiles, job postings, business information, verification documents, communications, uploaded materials, and other information provided through the Platform remain accurate, current, and lawful. We reserve the right, but assume no obligation, to verify information submitted through the Platform, request additional documentation, or remove information that we reasonably believe is inaccurate, misleading, fraudulent, or otherwise violates these Terms.

4. Account Types

The Platform offers different account types to accommodate various categories of users, including job seekers, recruiters, employers, organizations, organization administrators, and marketing ambassadors. Each account type may have access to different functionality, permissions, subscription options, and Platform features.

Job Search Accounts are intended for individuals seeking employment opportunities and related career development services. Users may create and manage a Career Profile, upload resumes and cover letters, search and apply for jobs, use AI-powered career tools, track applications, and access other features made available through the Platform.

Recruiter access is available only through a verified Organization Account. Recruiters may either create a separate recruiter account using a different email address or use an existing Job Search Account if the same email address is associated with both roles. Where the same email address is used, Opplaus may permit users to switch between their Job Search and Recruiter interfaces while maintaining a single authenticated account, subject to the permissions associated with each role. Recruiter access is not automatically granted upon account creation. Access becomes active only after approval by a verified organization's Super Admin or another authorized organization administrator. Opplaus may also require additional verification before granting or maintaining recruiter access. Organizations may revoke recruiter access at any time. Revoking recruiter access removes the user's recruiter permissions for that organization but does not delete the user's personal Job Search Account or Career Profile unless the user separately deletes their account.

Organization Accounts are intended for businesses and other organizations that wish to recruit candidates through the Platform. Organization Accounts must be created by an authorized representative and, once verified, the creator may serve as the organization's Super Admin. Organization administrators may manage company profiles, recruiter access, billing, job postings, organization settings, and other administrative features available through the Platform.

Marketing ambassador accounts provide access to referral tools, referral reporting, earnings information, and other functionality associated with Opplaus's ambassador program. You may not create multiple accounts for fraudulent purposes, impersonate another individual or organization, circumvent account restrictions, or otherwise misuse account privileges. We reserve the right to determine account eligibility, require verification, merge duplicate accounts, or suspend accounts that violate these Terms.

5. Subscriptions, AI Credits, and Payments

Certain features of the Platform are offered on a paid subscription basis or through the purchase or allocation of AI credits. Subscription plans, pricing, included features, usage limits, storage limits, AI credits, and other benefits may vary depending on the plan selected and may be modified by Opplaus from time to time in its sole discretion. The current subscription offerings are described on the Platform at the time of purchase and are incorporated into these Terms by reference. By purchasing a subscription or other paid service, you authorize Opplaus and its third-party payment processors to charge the payment method you designate for all applicable fees, taxes, recurring subscription charges, and any other authorized purchases associated with your account. You represent and warrant that you are authorized to use the payment method provided and that all payment information submitted is accurate and current.

Unless otherwise expressly stated, subscriptions automatically renew at the conclusion of each billing cycle unless canceled before the applicable renewal date. You may cancel your subscription at any time through your account settings; however, cancellation will become effective at the end of the then-current billing period unless otherwise required by applicable law. Except as required by law or expressly stated by Opplaus in writing, subscription fees, AI credit purchases, and other payments are non-refundable, including where a user chooses not to utilize available services during the subscription period. AI credits, promotional credits, referral credits, or similar account balances have no cash value unless expressly stated otherwise, are non-transferable, may expire in accordance with the applicable promotional terms, and may not be redeemed for cash or applied outside the Platform. Opplaus reserves the right to modify, suspend, discontinue, or replace any subscription plan, pricing structure, feature, or credit allocation upon reasonable notice.

6. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not access or use the Platform in any manner that violates applicable laws, infringes the rights of others, interferes with the operation or security of the Platform, or could reasonably damage the reputation or business operations of Opplaus.

Without limiting the foregoing, you agree that you will not use the Platform to submit false or misleading information, impersonate another individual or organization, create fraudulent accounts, upload malicious software or code, interfere with the operation of the Platform, attempt to gain unauthorized access to any account or system, scrape or harvest Platform data without authorization, circumvent security measures, distribute spam or unsolicited communications, upload unlawful, defamatory, obscene, discriminatory, infringing, or otherwise objectionable content, or engage in any activity intended to manipulate search results, recruiter recommendations, referral programs, subscription systems, or Platform analytics.

You further agree not to use any artificial intelligence features or automated systems available through the Platform to generate unlawful, misleading, deceptive, discriminatory, infringing, or harmful content, nor may you use the Platform to violate the intellectual property, privacy, publicity, employment, or other legal rights of any third party. Opplaus reserves the right, but assumes no obligation, to investigate suspected violations of these Terms and may suspend, restrict, or terminate accounts, remove content, report unlawful conduct to appropriate authorities, or pursue any other remedies available under applicable law.

7. User Content

The Platform allows users to upload, create, submit, transmit, store, and manage various forms of content, including resumes, cover letters, employment histories, job postings, company information, profile information, messages, portfolio materials, verification documents, photographs, AI prompts, AI-generated content, comments, notes, and other materials (collectively, "User Content").

You retain ownership of any intellectual property rights you possess in your User Content. However, by uploading, submitting, or otherwise making User Content available through the Platform, you grant Opplaus a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, adapt, process, display, transmit, distribute, and otherwise use such User Content solely as reasonably necessary to operate, maintain, improve, secure, and provide the Platform and its related services. This license includes the right to process User Content using artificial intelligence tools where necessary to provide requested Platform functionality, including resume generation, cover letter generation, keyword extraction, job matching, recommendations, chatbot functionality, and similar features requested by the user. You represent and warrant that you own or otherwise possess all necessary rights, licenses, permissions, and authority to submit your User Content to the Platform and to grant the license described in these Terms. You further represent that your User Content does not violate any applicable law or infringe the intellectual property, privacy, publicity, confidentiality, contractual, or other rights of any third party. Opplaus does not claim ownership of User Content and is under no obligation to monitor, verify, endorse, or pre-screen User Content submitted through the Platform. Nevertheless, we reserve the right, in our sole discretion, to remove, restrict, edit, disable access to, or refuse to publish any User Content that we believe violates these Terms, applicable law, or the rights of any third party.

8. Artificial Intelligence Services

The Platform incorporates artificial intelligence technologies to assist users with resumes, cover letters, career development, job matching, chatbot functionality, keyword generation, application materials, and other employment-related services. These features are intended solely as productivity tools and should not be interpreted as professional employment, legal, financial, recruiting, or career advice. You acknowledge that AI-generated content is produced automatically using machine learning models and may contain inaccuracies, incomplete information, outdated information, biased outputs, formatting errors, or other deficiencies. You remain solely responsible for reviewing, verifying, editing, and independently evaluating any AI-generated content before relying upon or submitting such content to prospective employers or other third parties. By submitting prompts, resumes, job descriptions, documents, or other materials to AI-powered features, you authorize Opplaus and its authorized service providers to process such information as reasonably necessary to generate the requested output and operate the applicable AI functionality. You further acknowledge that certain AI services are provided through third-party providers and that the availability, quality, accuracy, or performance of AI-generated outputs cannot be guaranteed. Opplaus expressly disclaims any representation or warranty that AI-generated content will be accurate, complete, error-free, suitable for a particular employment opportunity, accepted by employers, or result in interviews, employment offers, or career advancement.

9. Recruiter and Organization Responsibilities

Recruiters, employers, organizations, and organization administrators are solely responsible for all job postings, candidate communications, hiring decisions, employment practices, and information submitted through the Platform. Opplaus does not verify the accuracy, legality, completeness, or legitimacy of any job posting, employer profile, recruiter communication, or employment opportunity and assumes no responsibility for any hiring decisions, employment relationships, compensation arrangements, workplace conditions, or disputes arising between users. Organizations represent and warrant that they possess all necessary authority to post employment opportunities, collect applicant information, communicate with candidates, and otherwise utilize the Platform for legitimate business purposes. Organizations further agree that all employment opportunities posted through the Platform will comply with all applicable federal, state, local, and international employment, labor, anti-discrimination, wage and hour, equal opportunity, privacy, and consumer protection laws. Organizations are responsible for maintaining accurate company information, ensuring that recruiter accounts are authorized, managing recruiter permissions, promptly removing recruiter access when appropriate, and complying with all applicable employment, privacy, anti-discrimination, and other applicable laws in connection with their use of the Platform.

Candidate recommendations and search results may be generated using Platform data, user preferences, profile information, and other matching criteria. Users control their discoverability through the Platform's privacy settings. Opplaus does not guarantee recruiter contact, interviews, employment opportunities, or hiring outcomes based on profile visibility, search rankings, or candidate recommendations.

Recruiters and organizations shall use candidate information solely for legitimate recruitment and employment purposes and shall not use the Platform to collect personal information for unrelated marketing, solicitation, resale, lead generation, or any unlawful purpose. Recruiters remain solely responsible for complying with all legal obligations applicable to their recruiting activities, including obligations relating to applicant privacy, equal employment opportunity, background screening, employment eligibility verification, and applicable anti-discrimination laws. Opplaus reserves the right, but assumes no obligation, to review, suspend, reject, edit, or remove any recruiter account, organization account, company profile, or job posting that it reasonably believes violates these Terms, applicable law, or the integrity of the Platform.

Organizations may be required to provide verification information, including Employer Identification Numbers (EINs), business registration documents, company websites, business email addresses, proof of authority to act on behalf of the organization, or other documentation reasonably requested by Opplaus. Opplaus reserves the right, in its sole discretion, to approve, deny, suspend, or revoke organization verification at any time. Opplaus may implement reasonable measures to protect users and maintain the integrity of the Platform, including limiting recruiter outreach, requiring recruiter or organization verification before certain messaging features become available, detecting and preventing spam or abusive communications, and suspending or restricting messaging privileges for violations of these Terms or misuse of the Platform.

Recruiters may access only the candidate information that users choose to make available through the Platform, including information shared through profile visibility settings, submitted job applications, recruiter discovery settings, or other Platform features expressly enabled by the user. Recruiters and organizations may use such information solely for legitimate recruiting and employment-related purposes and in accordance with applicable law.

Opplaus reserves the right to request additional verification documentation from organizations or recruiters at any time and may suspend or revoke organization verification or recruiter access if verification requirements are no longer satisfied or if fraudulent, suspicious, or unauthorized activity is detected.

10. Chrome Extension and Third-Party Job Boards

The Opplaus Chrome Extension is provided solely as a convenience tool to assist users in organizing and tracking employment opportunities located on supported third-party job boards. The Extension extracts publicly visible job posting information from supported websites and allows users to save that information to their Opplaus account for personal organization and application tracking. The Extension does not create employment opportunities, control third-party websites, or submit job applications on behalf of users unless expressly stated otherwise. Users acknowledge that third-party job boards, employer websites, and recruiting platforms are owned and operated by independent third parties over whom Opplaus exercises no control. Opplaus does not endorse, guarantee, verify, or assume responsibility for the accuracy, completeness, availability, legality, or continued availability of any job posting, employer profile, recruiter communication, salary information, or other third-party content appearing on those websites. Your use of any third-party website, including the submission of employment applications, creation of third-party accounts, or provision of personal information to third-party employers or recruiting platforms, is governed solely by the applicable terms and privacy policies of those third parties. Opplaus shall not be responsible for any actions, omissions, policies, data practices, hiring decisions, or services of third-party job boards, employers, recruiters, or external websites.

11. Marketing Ambassador Program

Opplaus may offer a marketing ambassador or referral program that permits approved participants to refer new users to the Platform through referral links, referral codes, promotional campaigns, or other authorized marketing activities. Participation in the ambassador program is voluntary and subject to any additional program rules, policies, commission schedules, or participation requirements published by Opplaus from time to time.

Marketing ambassadors agree to promote the Platform honestly, accurately, and in compliance with all applicable advertising, marketing, endorsement, consumer protection, and disclosure laws, including any applicable Federal Trade Commission ("FTC") endorsement guidelines. Ambassadors shall not make false, misleading, deceptive, or unsubstantiated statements regarding the Platform, employment opportunities, subscription plans, AI functionality, referral earnings, or other Platform features. Referral commissions, incentive payments, bonuses, or other compensation shall be earned only in accordance with the applicable referral program rules and may be withheld, reduced, reversed, or canceled if Opplaus reasonably determines that referrals were generated through fraud, abuse, spam, self-referrals, misleading marketing practices, violations of these Terms, or other prohibited conduct. Opplaus reserves the right to modify, suspend, or terminate the ambassador program at any time without creating any obligation to continue offering referral incentives.

12. Intellectual Property

The Platform, including its software, source code, object code, algorithms, databases, website design, user interface, graphics, logos, trademarks, service marks, trade names, text, photographs, audio, video, documentation, artificial intelligence functionality, compilations, and all other content made available by Opplaus, together with all intellectual property rights therein, are and shall remain the exclusive property of Opplaus or its licensors and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.

Except as expressly authorized in these Terms, no portion of the Platform may be copied, reproduced, modified, distributed, displayed, transmitted, licensed, reverse engineered, decompiled, disassembled, sold, leased, exploited, or otherwise used without the prior written consent of Opplaus. No rights or licenses are granted by implication, estoppel, or otherwise except as expressly set forth in these Terms.

Subject to your continued compliance with these Terms, Opplaus grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for its intended purposes. This license automatically terminates upon suspension or termination of your account or your violation of these Terms.

Nothing contained in these Terms grants you any ownership interest in the Platform or in any trademarks, logos, service marks, branding, or other proprietary materials belonging to Opplaus.

13. Communications

By creating an account or otherwise using the Platform, you consent to receive communications from Opplaus relating to your account, Platform activity, subscriptions, security, transactions, customer support, product updates, and other matters necessary for the administration and operation of the Platform. Such communications may be delivered by email, text message, push notification, in-app notification, telephone, or other electronic means using the contact information associated with your account. You acknowledge that certain communications, including account verification messages, password reset requests, security alerts, billing notifications, service announcements, and notices relating to these Terms, are transactional in nature and are necessary for the operation of the Platform. Accordingly, you may continue to receive such communications even if you opt out of receiving marketing or promotional communications.

Where required by applicable law, Opplaus will obtain any necessary consent before sending promotional or marketing communications. You may withdraw your consent to receive promotional communications at any time by following the unsubscribe instructions included in such communications or by adjusting your communication preferences within your account settings. Your withdrawal of consent will not affect communications that are necessary to administer your account or fulfill our contractual obligations.

14. Suspension and Termination

Opplaus reserves the right, in its sole discretion and without prior notice where permitted by applicable law, to suspend, restrict, disable, or terminate your account or access to all or any portion of the Platform if we reasonably determine that you have violated these Terms, applicable law, the rights of another user, or the security or integrity of the Platform. Grounds for suspension or termination may include, without limitation, providing false or misleading information, fraudulent activity, abuse of AI features, misuse of recruiter or organization accounts, unauthorized access attempts, repeated violations of these Terms, infringement of intellectual property rights, abusive or harassing conduct, security threats, payment failures, excessive chargebacks, unlawful conduct, or any activity that may expose Opplaus, its users, or third parties to legal or operational risk.

Upon termination, your right to access and use the Platform immediately ceases. Opplaus may remove or disable access to your account, User Content, AI-generated content, subscription benefits, referral benefits, saved jobs, recruiter communications, or other information associated with your account. Termination shall not affect any rights or obligations that accrued prior to termination, including payment obligations, indemnification obligations, ownership provisions, limitations of liability, dispute resolution provisions, or any other provisions that by their nature are intended to survive termination.

You may terminate your account at any time through your account settings or by contacting Opplaus. Termination of your account does not automatically entitle you to any refund of subscription fees, AI credits, or other amounts previously paid unless otherwise required by applicable law or expressly agreed by Opplaus in writing.

15. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. OPPLAUS MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, OR THAT THE PLATFORM WILL OPERATE WITHOUT INTERRUPTION OR ERROR.

WITHOUT LIMITING THE FOREGOING, OPPLAUS DOES NOT WARRANT THAT JOB POSTINGS ARE ACCURATE, CURRENT, LEGITIMATE, AVAILABLE, OR SUITABLE FOR ANY PARTICULAR USER; THAT EMPLOYERS OR RECRUITERS WILL REVIEW APPLICATIONS; THAT USERS WILL OBTAIN EMPLOYMENT, INTERVIEWS, OR OFFERS; THAT CANDIDATES ARE QUALIFIED; THAT ORGANIZATIONS WILL HIRE APPLICANTS; OR THAT THE PLATFORM WILL MEET ANY PARTICULAR BUSINESS OR PERSONAL OBJECTIVE.

OPPLAUS FURTHER DISCLAIMS ANY WARRANTY REGARDING AI-GENERATED CONTENT, INCLUDING RESUMES, COVER LETTERS, CHAT RESPONSES, RECOMMENDATIONS, KEYWORDS, JOB MATCHES, OR OTHER OUTPUTS GENERATED THROUGH ARTIFICIAL INTELLIGENCE FEATURES. USERS ARE SOLELY RESPONSIBLE FOR REVIEWING, VERIFYING, EDITING, AND DETERMINING THE APPROPRIATENESS OF ALL AI-GENERATED CONTENT BEFORE RELYING UPON OR USING SUCH CONTENT.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPPLAUS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, MEMBERS, MANAGERS, AGENTS, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, LOSS OF DATA, BUSINESS INTERRUPTION, LOSS OF REVENUE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE PLATFORM, THESE TERMS, OR YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF OPPLAUS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO OPPLAUS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100.00).

THE LIMITATIONS SET FORTH IN THIS SECTION APPLY REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND SHALL SURVIVE THE TERMINATION OF THESE TERMS OR YOUR USE OF THE PLATFORM.

17. Indemnification

You agree to defend, indemnify, and hold harmless Opplaus, its affiliates, parent companies, subsidiaries, officers, directors, members, managers, employees, contractors, agents, licensors, successors, assigns, and service providers from and against any and all claims, demands, actions, proceedings, investigations, liabilities, judgments, damages, losses, fines, penalties, costs, and expenses, including reasonable attorneys' fees and litigation expenses, arising out of or relating to: (a) your access to or use of the Platform; (b) your violation of these Terms; (c) your User Content; (d) your violation of any applicable law, regulation, or governmental requirement; (e) your infringement or misappropriation of the intellectual property, privacy, publicity, contractual, or other legal rights of any third party; (f) any dispute between you and another user, recruiter, employer, organization, marketing ambassador, or third party; or (g) your negligent, fraudulent, or willful misconduct.

Opplaus reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with Opplaus in asserting any available defenses.

18. Dispute Resolution

The parties agree to make a good faith effort to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Platform through informal negotiations before initiating formal legal proceedings. Either party may provide written notice describing the nature of the dispute, and the parties shall attempt to resolve the matter through good faith discussions for a period of at least thirty (30) days following receipt of such notice.

If the parties are unable to resolve the dispute through informal negotiations, either party may pursue any remedies available under applicable law, subject to the governing law and venue provisions contained in these Terms. Nothing contained in this Section shall prevent either party from seeking temporary, preliminary, or permanent injunctive or equitable relief where necessary to prevent immediate or irreparable harm, protect confidential information, preserve intellectual property rights, or maintain the status quo pending final resolution of a dispute.

19. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of THIS STATE, without regard to its conflict of laws principles.

Subject to any mandatory arbitration provisions or other applicable legal requirements, the parties agree that any legal action or proceeding arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in THIS STATE and each party irrevocably submits to the personal jurisdiction and venue of those courts. Each party waives any objection based upon improper venue or forum non conveniens to the fullest extent permitted by law.

If any portion of this Section is determined to be unenforceable under applicable law, the remaining provisions shall remain in full force and effect to the maximum extent permitted.

20. Changes to the Platform and These Terms

Opplaus continually develops, improves, and updates its products and services. Accordingly, we reserve the right, at any time and in our sole discretion, to modify, suspend, discontinue, replace, or remove any portion of the Platform, including features, functionality, subscription plans, AI services, pricing, integrations, availability, supported third-party services, or technical requirements, with or without prior notice.

We also reserve the right to amend these Terms from time to time. When material changes are made, we will update the Effective Date appearing at the beginning of these Terms and may provide additional notice through the Platform, by email, or through other reasonable means where required by applicable law. Your continued access to or use of the Platform following the effective date of any revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform and, if applicable, terminate your account.

21. Miscellaneous

These Terms, together with the Privacy Policy and any additional policies, guidelines, or supplemental terms expressly incorporated by reference, constitute the entire agreement between you and Opplaus regarding the Platform and supersede all prior or contemporaneous agreements, understandings, negotiations, representations, and communications relating to the subject matter hereof.

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.

No waiver by Opplaus of any breach or default shall be deemed a waiver of any preceding or subsequent breach or default. Any failure by Opplaus to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that or any other provision at a later time.

You may not assign, delegate, or otherwise transfer any of your rights or obligations under these Terms without the prior written consent of Opplaus. Opplaus may assign or transfer these Terms, in whole or in part, without restriction in connection with a merger, acquisition, sale of assets, corporate restructuring, financing transaction, or by operation of law.

The section headings contained in these Terms are included solely for convenience and shall not affect the interpretation of any provision. The provisions of these Terms that by their nature should survive termination, including without limitation provisions relating to intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and miscellaneous provisions, shall survive the termination or expiration of these Terms.
